1. Acceptance of the Terms of Use
These terms of use are entered into by and between You and Brio Automations LLC ("Company," "we," or "us"). The following terms and conditions ("Terms") govern your access to and use of brioautomations.com and the Brio Automations SaaS platform. By using the Website or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms and our Privacy Policy.
2. Description of Service
Brio Automations provides a software-as-a-service (SaaS) platform designed for home service businesses. Our core services include, but are not limited to, Missed Call Text-Back automation, CRM lead management, and automated booking workflows. We reserve the right to withdraw or amend this Website and any service or material we provide on the Website in our sole discretion without notice.
3. Subscription, Billing, and Cancellation
Fees: You agree to pay the monthly or annual subscription fees as selected during the signup process. All fees are non-refundable unless otherwise stated in a specific written agreement.
Payment Processor: We use Stripe as our third-party payment processor. By using our Services, you agree to Stripe's Terms of Service.
Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel through your account dashboard or by contacting support.
Taxes: You are responsible for all applicable taxes associated with your use of the Service.
4. Communication Compliance (TCPA & A2P 10DLC)
Consent: You represent and warrant that you have obtained express written consent from any customer or lead before using the Brio Automations platform to send them an automated SMS or email.
Indemnification: You agree to indemnify and hold harmless Brio Automations LLC from any claims, fines, or penalties resulting from your failure to comply with the Telephone Consumer Protection Act (TCPA) or other applicable communication laws.
Prohibited Content: You may not use our service to send messages related to illegal substances, predatory lending, or any content that violates carrier "SHAFT" (Sex, Hate, Alcohol, Firearms, Tobacco) guidelines.
5. Intellectual Property Rights
The Website, the SaaS platform, and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the Aegean Blue branding) are owned by Brio Automations LLC and are protected by United States and international copyright, trademark, and other intellectual property laws.
6. Limitation of Liability
IN NO EVENT WILL BRIO AUTOMATIONS LLC, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE WEBSITE OR THE SERVICES.
7. Indemnification
You agree to defend, indemnify, and hold harmless Brio Automations LLC, its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Website and Services.
8. Governing Law and Jurisdiction
All matters relating to the Website, the Services, and these Terms, and any dispute or claim arising therefrom, shall be governed by and construed in accordance with the internal laws of the State of Indiana without giving effect to any choice or conflict of law provision.
